- You will not upload or transmit files containing viruses or other destructive code intended to harm hardware, software, or communication equipment.
Although dataroom.org.uk is under no obligation to monitor Contributor Material, it may, at its sole discretion, determine if posted materials breach these Terms and take appropriate action.
5. EXTERNAL RESOURCES
For user convenience, the Site may include hyperlinks or references leading to third-party websites or services. dataroom.org.uk neither endorses nor has control over these external platforms and disclaims all liability for any damages or losses related to your use of or reliance on such sites. DATAROOM.ORG.UK DOES NOT WARRANT THAT ACCESS TO THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOU ASSUME ALL RISKS ASSOCIATED WITH USING THE SITE AND ITS CONTENT.
YOU ALONE ARE RESPONSIBLE FOR ENSURING THAT YOUR USE OF THE SITE COMPLIES WITH APPLICABLE LAWS. 9. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless dataroom.org.uk, its affiliates, employees, directors, agents, and third-party partners (collectively, “Indemnified Parties”) from and against any and all claims, losses, liabilities, costs, or expenses (including reasonable legal fees) arising out of:
- Your use or misuse of the Site in violation of these Terms;
- Your breach of these Terms;
- Your infringement of any rights of a third party, including intellectual property or privacy rights.

The indemnification obligations outlined in this section survive the termination of these Terms and your use of the Site.
10. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, DATAROOM.ORG.UK AND ITS AFFILIATES, LICENSORS, OR PARTNERS WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES OR ANY OTHER LOSSES ARISING FROM YOUR USE OR INABILITY TO USE THE SITE, EVEN IF DATAROOM.ORG.UK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IF YOU ARE DISSATISFIED WITH ANY ASPECT OF THE SITE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING IT. IN NO EVENT SHALL DATAROOM.ORG.UK’S TOTAL LIABILITY EXCEED ONE U.S. DOLLAR (USD $1.00).
11. APPLICABLE LAW AND DISPUTE RESOLUTION
These Terms are governed by and construed under the laws of England and Wales, without regard to conflict of laws principles. Any dispute arising from or related to these Terms will be finally settled by arbitration administered by the London Court of International Arbitration (LCIA), following the LCIA Rules, which are incorporated here by reference.
12. TERMINATION
dataroom.org.uk may, at its sole discretion, suspend or terminate your access to the Site (including removal of any content you have posted) at any time, for any reason, with or without notice—particularly if it believes you have violated these Terms. dataroom.org.uk may also cease operations of the Site, either in whole or in part, without providing notice. By using the Site, you acknowledge that dataroom.org.uk will not be liable to you or any third party for such suspension, termination, or deactivation.
